Authorized Use, Approval and Nondisclosure. Recipient is authorized to distribute, copy or use ICC’s intellectual property solely in connection with the advertising, promotion, and sale of ICC products, as approved and authorized. Recipient may not modify or otherwise alter ICC’s intellectual property or use it in any unauthorized manner. Any other uses of ICC’s intellectual property must be approved in writing by ICC. ICC’s intellectual property must not be used in a confusing, misleading or improper manner. ICC must approve in advance, all uses of its intellectual property that is incorporated or used in other works, including but not limited to, advertisements, circulars, catalogs, websites, promotional materials, products or other works. ICC requires a minimum of two (2) weeks to review and approve all uses of ICC's intellectual property that is subject to the terms and conditions of this Agreement. Each party agrees, during and after the term of this Agreement, to maintain confidential, sensitive or proprietary information of the other party in strict confidence and agrees not to disclose it, directly or indirectly, or use it in any way, except as authorized by the other party. ICC maintains exclusive rights to its intellectual property.

Infringement and Breach of Agreement. ICC’s intellectual property is protected by copyright, trademark, and other laws of the United States of America, and any uses other than those specifically authorized by ICC constitute infringement. Unauthorized use of ICC’s intellectual property is a crime and is subject to criminal and civil penalties under the laws of the United States of America. ICC reserves the right to take any necessary legal action to pursue all available remedies for any wrongful use, infringement, or breach of this Agreement.

Termination. The term of this Agreement shall be for a period of one (1) year and shall automatically renew for successive one (1) year periods until terminated. Either party may terminate this Agreement, with or without cause, effective immediately, upon written notice to the other party. Upon termination, Recipient must return all intellectual property to ICC and immediately cease use of ICC’s intellectual property.

Limitation of Liability. IN NO EVENT SHALL EITHER PARTY BE ENTITLED TO INDIRECT, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, OR FOR DAMAGES FOR LOST OR ANTICIPATED PROFITS, DELAY, OR ANY OTHER CAUSE BEYOND EACH PARTY’S CONTROL.
